Global Content+ Program Agreement

This Global Content+ Program Agreement (“Agreement”) is entered into between you (“Contributor”) and MotionElements Private Limited, a Singapore company (“MotionElements”). In consideration of the mutual promises herein contained and other good and valuable consideration, the receipt and adequacy of which are hereby acknowledged, MotionElements and Contributor hereby agree as follows:

Individually and collectively, any digital content, including photographs, illustrations, animations, films or video footages, music and other audio files, 3D models, data files, project files and templates, other audio/visual works or other material that are uploaded or submitted by Contributor to MotionElements and accepted by us for inclusion into our Library.

  1. MotionElements’s Global Content+ Program is structured to increase opportunities for the promotion of our Contributors’ Content in geographies, markets, product types and to new technology partners and customers that our traditional marketplace may not reach - potentially generating additional revenue for your Content. Your participation is optional.

  2. For any of your Content licensed via the Global Content+ Program, MotionElements shall pay to Contributor an amount equal to fifty percent (50%) of Net License Fees received by MotionElements from parties from the licensing of Content from the Global Content+ program. MotionElements will use its best efforts to pay royalties from this program on a quarterly basis.

  3. Contributor will be updated of Plans within the Global Content+ Program and you may choose to opt out of any Plan. For this program to remain relevant to market needs, we will need discretion to (i) set the price of your Content and/or agree to payout structures with the goal of maximizing overall revenue to our contributors, and (ii) license your Content to customers as part of a collection of works, in which scenario, we will have sole discretion to allocate the amounts paid by the customer among your Content and the other works licensed to the customer on a basis that we will in good faith determine is equitable.

  4. This Agreement can be terminated by Contributor at any time by giving thirty (30) days written notice to MotionElements.
